Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of the Sales and Inventory Management Software ("Software") provided by SalesPort. By accessing, installing, or using the Software, you ("User," "Customer," or "you") agree to be bound by these Terms and Conditions.

1. Definitions

  • Software: Refers to the sales and inventory management application, including all updates, modules, features, and related documentation.
  • User: Refers to any individual or organization using the Software.
  • Subscription: Refers to any paid plan granting access to the Software.
  • Data: Refers to all information entered, uploaded, stored, or processed through the Software.

2. License Grant

Subject to compliance with these Terms, the Company grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Software for lawful business purposes.

The User shall not:

  • Copy, modify, distribute, or resell the Software.
  • Reverse engineer, decompile, or attempt to derive the source code.
  • Use the Software for illegal, fraudulent, or unauthorized activities.
  • Share login credentials with unauthorized persons.

3. User Accounts

Users may be required to create an account to access certain features. The User agrees to:

Accuracy
Provide accurate and complete registration information.
Confidentiality
Maintain the confidentiality of account credentials.
Notification
Immediately notify the Company of any unauthorized account access.
Responsibility
The User is responsible for all activities conducted under their account.

4. Subscription and Payment

4.1 Fees

Access to certain features may require payment of subscription fees. All fees are payable in advance unless otherwise agreed.

4.2 Billing

The User authorizes the Company to charge applicable fees using the selected payment method.

4.3 Late Payments

Failure to pay fees may result in suspension or termination of access to the Software.

4.4 Refunds

Payments are non-refundable unless otherwise required by law or expressly stated in a separate refund policy.

5. Data Ownership

The User retains ownership of all business data entered into the Software.

The Company does not claim ownership of User data.
The Company may access User data only as necessary to provide services, support, maintenance, legal compliance, or security monitoring.
The Company may use aggregated and anonymized data for analytics and service improvement.

6. Data Backup and Security

The Company will implement reasonable security measures to protect User data. However, the User acknowledges that:

No System is Perfect

No system is completely secure. The Company shall not be liable for data loss resulting from circumstances beyond its reasonable control.

Independent Backups

The User remains responsible for maintaining independent backups of critical business information.

7. Software Availability

The Company will use reasonable efforts to maintain service availability. However, the Software may occasionally be unavailable due to scheduled maintenance, system upgrades, technical failures, or events beyond the Company's control. The Company does not guarantee uninterrupted access.

8. Updates and Modifications

The Company reserves the right to modify, update, enhance, or discontinue features, release patches and security updates, or change subscription plans and pricing with prior notice where required. Continued use constitutes acceptance of such changes.

9. Intellectual Property

All intellectual property rights in the Software, including copyrights, trademarks, designs, source code, and documentation, remain the exclusive property of the Company or its licensors. Nothing in this Agreement transfers ownership rights to the User.

10. Acceptable Use

The User agrees not to upload malicious software, interfere with system operations, attempt unauthorized access, or use the Software to infringe upon the rights of others. Violation of this section may result in immediate suspension or termination.

11. Confidentiality

Each party agrees to maintain the confidentiality of non-public business, technical, and financial information. Confidential information shall not be disclosed to third parties except with prior written consent, as required by law, or to authorized service providers under confidentiality obligations.

12. Limitation of Liability

• To the maximum extent permitted by law, the Software is provided on an "AS IS" and "AS AVAILABLE" basis. The Company disclaims all warranties, express or implied.

• The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.

• The Company's total liability shall not exceed the amount paid by the User for the Software during the twelve (12) months preceding the claim.

13. Indemnification

The User agrees to indemnify and hold harmless the Company, its officers, employees, partners, and affiliates from any claims, losses, liabilities, damages, or expenses arising from violation of these Terms, misuse of the Software, or violation of applicable laws or third-party rights.

14. Termination

The Company may suspend or terminate access if the User breaches these Terms, fees remain unpaid, or the User engages in unlawful activities. Upon termination, access to the Software is revoked and User data handled per policy.

15. Privacy

The collection, processing, storage, and use of personal information shall be governed by the Company's Privacy Policy. By using the Software, the User consents to such processing.

16. Force Majeure

The Company shall not be liable for failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, internet outages, government actions, labor disputes, cyberattacks, or power failures.

17. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Ghana, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ghana.

18. Changes to Terms

The Company may amend these Terms from time to time. Updated versions will be posted within the Software or on the Company's website. Continued use after such updates constitutes acceptance of the revised Terms.

20. Entire Agreement

These Terms constitute the entire agreement between the Company and the User regarding the Software and supersede all prior agreements, communications, and understandings relating to the subject matter herein.
